1. Introduction and Acceptance of Terms
1.1 These Terms of Service ("Terms") constitute a legally binding agreement between the organisation or individual ("Client", "you", "your") subscribing to the KnowledgeScout platform and KnowledgeScout Pty Ltd (ABN 24 696 430 627), a company incorporated in the State of New South Wales, Australia ("KnowledgeScout", "we", "us", "our").
1.2 By creating an account, clicking "I Agree", signing or accepting an order form, accepting a proposal, paying for a subscription, or otherwise accessing or using the Service, you agree to be bound by these Terms. These Terms are the principal agreement governing your access to and use of the Service. Your use of the Service is also subject to our Privacy Policy and our Data Processing Agreement. The Privacy Policy and Data Processing Agreement are incorporated into, and form part of, these Terms.
1.3 To the extent KnowledgeScout processes personal data on behalf of the Client as a processor, service provider, or equivalent role under applicable data protection laws, the parties agree that the Data Processing Agreement applies to that processing and is binding on the parties from the date these Terms are accepted. The Client's acceptance of these Terms constitutes acceptance of the Data Processing Agreement on behalf of itself and, where applicable, its Authorised Users and relevant Affiliates.
1.4 If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
1.5 The Client is responsible for all acts and omissions of its Authorised Users, Agents, and any person who accesses the Service through the Client's accounts, access credentials, or systems, as if those acts or omissions were the Client's own.
1.6 If you do not agree with any part of these Terms, you must not create an account or use the Service.
2. Definitions
"Service" — The KnowledgeScout cloud-hosted knowledge management platform and all features, integrations, and related services made available by KnowledgeScout.
"Tenant" — An isolated instance of the Service provisioned for the Client.
"Client Content" — All data, text, images, documents, and materials created, uploaded, or generated by the Client or its Authorised Users within the Service.
"Authorised User" — Any individual authorised by the Client to access and use the Service under the Client's subscription.
"Data Region" — The geographic region selected by the Client for storage of Client Content: Sydney (Australia), London (United Kingdom), or Dallas (United States).
"End User" — Any person interacting with Client-facing components of the Service, including embeddable components and public content, but not an Authorised User.
"AI Features" — Optional artificial intelligence-powered functionality within the Service, including conversational assistance, content generation, writing tools, and similar capabilities, powered by third-party AI providers.
3. The Service
3.1 Service Description and Features
3.1.1 KnowledgeScout is a cloud-hosted knowledge management platform enabling teams to create, manage, organise, search, and distribute knowledge base content. The Service is designed for internal team collaboration, customer-facing knowledge distribution, and integration with external systems.
3.1.2 The Service includes, but is not limited to: content creation and management tools; full-text search; learning and guided workflows; document storage; collaboration features; role-based access control; custom branding; integrations and programmatic access; embeddable components; analytics; optional AI Features; audit logging; and conversation logging.
3.2 Programmatic Access and Integrations
3.2.1 KnowledgeScout may issue credentials ("Access Credentials") to the Client for programmatic access to the Service via APIs, protocols, and integrations. Access Credentials are confidential. You are solely responsible for safeguarding Access Credentials and for all activity occurring through them. You must not share Access Credentials with unauthorised parties or embed them in publicly accessible code or repositories.
3.2.2 Some Access Credentials are designed for public or embedded use (e.g. widget keys). KnowledgeScout will identify such credentials as "public" or "embeddable". Public credentials may be exposed in client-side code and embedded applications; all other credentials must be kept confidential.
3.2.3 Programmatic access is subject to rate limits, usage quotas, and scoping restrictions applicable to your subscription plan. You must not attempt to circumvent rate limits, exceed quotas, or exceed the scope of your Access Credentials. KnowledgeScout may throttle, suspend, or revoke access if usage is excessive, abusive, or degrades the Service.
3.2.4 Data retrieved via programmatic access remains Client Content and is subject to these Terms. You are solely responsible for how you use, store, and transmit data obtained through programmatic access, including onward transfer to third parties or external systems. KnowledgeScout accepts no liability for Client Content once it leaves the Service.
3.2.5 KnowledgeScout does not warrant compatibility with any particular third-party system or integration. We will use reasonable efforts to provide advance notice of breaking changes. KnowledgeScout is not responsible for failures, unavailability, or malfunction of third-party integrations.
3.3 Embeddable Components
3.3.1 The Service provides embeddable components (including widgets and other interactive elements) that distribute content to internal teams, external customers, or both. Embeddable components are governed by access credentials and visibility settings you configure.
3.3.2 Internal embeddable components may enforce domain restrictions and team-based access controls. Only Authorised Users from your organisation and permitted external parties can access internal components.
3.3.3 External/public embeddable components display only content you have marked as publicly visible. End Users accessing public components are not Authorised Users. You are responsible for privacy disclosures on your own website when embedding components that process End User data.
3.3.4 You are solely responsible for the privacy implications of embedding components on your website, including compliance with data protection laws. You must provide clear privacy notices to End Users about data collection, storage, and processing.
3.3.5 These Terms govern the relationship between KnowledgeScout and the Client only. The Client is solely responsible for any terms of use, consents, notices, or other arrangements it makes available to End Users in connection with Client-facing or public-facing components.
3.4 Third-Party Agent Access
3.4.1 The Service supports access by third-party AI agents and automated tools ("Agents"). Agent access is authenticated and scoped via Access Credentials issued by the Client. You are responsible for the conduct, activity, and data handling of all Agents accessing your Tenant.
3.4.2 Content created or modified by Agents enters a review workflow and cannot be published directly by Agents. You must review and approve all Agent-generated content before publication. You own all Agent-created content and are responsible for its accuracy, compliance, and adherence to applicable law.
3.4.3 You must ensure that all Agents comply with these Terms and with applicable data protection, intellectual property, and other laws in your jurisdiction. KnowledgeScout is not liable for Agent conduct, data handling practices, or the accuracy or legality of Agent-generated content.
3.4.4 You agree to indemnify KnowledgeScout from claims arising from Agent access to the Service, Agent conduct, or Agent-generated content.
3.5 Service Availability and Modifications
3.5.1 KnowledgeScout will use commercially reasonable efforts to maintain reasonable availability of the Service, including a target availability of 99.5% per calendar month, excluding Scheduled Maintenance, emergency maintenance, and events beyond our reasonable control. This availability target is a service target only and does not constitute a warranty or service credit commitment unless expressly agreed in writing.
3.5.2 KnowledgeScout may modify, update, or discontinue features of the Service from time to time. For material changes that substantially reduce core functionality, we will provide 30 days' notice. For other changes, we will use reasonable efforts to notify you in advance. Continued use of the Service after such change constitutes acceptance of the updated Service.
3.5.3 If a material change substantially reduces core functionality of the Service and you do not accept it, you may terminate your subscription within 30 days. Termination takes effect at the end of your Subscription Period with no pro-rata refund.
4. Account Registration and Security
4.1 You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. Notify KnowledgeScout immediately of any unauthorised use or security breach.
4.2 Sign-in options include username/password, email code authentication, Microsoft sign-in, and Google sign-in. Single sign-on is used for existing users only and does not create new accounts.
4.3 All account credentials must not violate our Acceptable Use Policy. You must change your default password on your first login.
5. Subscription Plans, Billing, and Payment
5.1 Subscription Plans
5.1.1 KnowledgeScout offers three subscription tiers on a monthly billing cycle:
- Startup — Platform access including full-text search, analytics, role-based access, document storage, branding (colour scheme and custom logo), and optional AI Features. No programmatic access, integrations, or embeddable components.
- Business — Includes everything in Startup, plus programmatic access, integrations, embeddable components, and BYOK (Bring Your Own API Key) for AI providers.
- Enterprise — Includes everything in Business, plus dedicated support and unlimited pay as you go AI features (unless you are using our BYOK option).
5.1.2 For current pricing, plan features, storage limits, and user seat limits, refer to knowledgescout.io/pricing. Pricing is quoted in your selected currency (AUD, GBP, or USD) and is charged per Authorised User per month for Startup and Business plans, or as a flat fee for Enterprise plans.
5.1.3 Pricing and plan features are subject to change with 30 days' notice. If you do not accept a price increase, you may downgrade or cancel within 30 days of notice.
5.1.4 KnowledgeScout may enter into custom agreements with Enterprise clients that modify these Terms, including custom user limits, storage, or AI usage arrangements. Custom agreements must be in writing and signed by both parties.
5.2 Billing and Payment
5.2.1 Unless otherwise agreed in writing, subscription fees are billed monthly in advance. Each Subscription Period runs for one calendar month and renews automatically unless cancelled in accordance with these Terms.
5.2.2 Invoices are issued via email. Payment is due within 7 days unless otherwise agreed in writing.
5.2.3 Payment is processed via Stripe. By providing payment details, you authorise KnowledgeScout and Stripe to charge your payment method in your selected currency for the full invoice amount.
5.2.4 If a payment fails, your account enters a 7-day grace period during which the Service remains accessible. If payment is not resolved, your account is suspended for up to 30 days (login permitted but no content creation). If payment remains unsuccessful, your account is cancelled. We will attempt to notify you throughout this process.
5.2.5 You are responsible for maintaining accurate payment information. Transaction fees and currency conversion fees are your responsibility.
5.2.6 Unless otherwise stated, fees are exclusive of all taxes, duties, and levies, including GST, VAT, and similar sales taxes. You are responsible for all such taxes, excluding taxes based on KnowledgeScout's net income.
5.2.7 Without limiting any other right or remedy, KnowledgeScout may suspend access to the Service, decline renewal, or withhold access to certain features if any undisputed amount remains overdue after reasonable notice.
5.3 Free Trial
5.3.1 KnowledgeScout may offer a 1-month free trial to new Clients. A valid payment method may be required. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the then-current applicable fees for your selected plan.
5.4 Refunds
5.4.1 Except as expressly stated in these Terms, all fees are non-refundable, including prepaid fees and purchased top-ups, unless: (a) you cancel during your free trial; or (b) KnowledgeScout materially breaches these Terms and fails to cure that material breach within 30 days after receiving written notice; or (c) a refund is required under non-excludable law.
5.4.2 Plan downgrades take effect at the end of your Subscription Period with no pro-rata refund. Plan upgrades take effect immediately with prorated billing for the remaining cycle.
5.5 Storage and Fair Usage
5.5.1 Each plan includes a storage allowance. If you exceed your allowance, KnowledgeScout may prevent further uploads until you delete content or upgrade.
5.6 AI Credits
5.6.1 Startup and Business plans include a monthly allocation of AI credits consumed by AI Features. Unused credits do not roll over. Enterprise plans do not include credit allocation — Enterprise Clients either use BYOK or purchase credits on a pay-per-use basis.
5.6.2 Credits are consumed based on tokens processed (input + output tokens). Credit consumption is calculated as the greater of one (1) credit or total token count divided by one thousand (1,000), rounded up.
5.6.3 Credits are consumed in order: (a) plan allocation; (b) purchased top-ups; (c) overage. Purchased top-ups are non-refundable.
5.6.4 If plan credits and purchased top-ups are exhausted, internal AI Features become unavailable until credits reset or you purchase additional credits.
5.6.5 Public-facing embeddable component AI usage may continue beyond your balance up to a maximum of 50% of your monthly allocation (overage). When the overage cap is reached, public components fall back to non-AI functionality. Internal embeddable components are subject to your plan's hard credit cap with no overage.
5.6.6 Overage balances reset to zero at the start of each Subscription Period. No charges apply for overage that resets.
5.6.7 KnowledgeScout reserves the right to adjust overage limits, require plan upgrades, or restrict external component AI access for accounts that consistently rely on overage. We will provide reasonable notice before making such adjustments.
5.6.8 Business and Enterprise Clients using BYOK are not subject to KnowledgeScout credit limits for queries processed through their own credentials.
5.7 Seat-Based Billing
5.7.1 Startup and Business plans are billed per Authorised User per month. Seat changes are prorated within the billing cycle.
5.7.2 Enterprise plans are billed as a flat monthly fee regardless of user count.
6. Client Responsibilities and Acceptable Use
6.1 General Responsibilities
6.1.1 The Service is designed for business knowledge management. You are responsible for:
- All Client Content, including its accuracy, completeness, and legal compliance;
- Ensuring Authorised Users comply with these Terms;
- Maintaining credential confidentiality;
- Notifying KnowledgeScout of unauthorised access immediately;
- Complying with all applicable laws.
6.1.2 You should not upload personal data (customer records, health information, financial details) unless incidental to knowledge content. Personal data you upload remains your responsibility under applicable data protection laws.
6.2 Acceptable Use
6.2.1 You agree not to use the Service to:
- Upload, store, or transmit unlawful, defamatory, obscene, or infringing content;
- Impersonate any person or falsely claim affiliation;
- Harass, threaten, or cause harm;
- Interfere with the Service's integrity or performance;
- Gain unauthorised access;
- Use automated tools without authorisation;
- Transmit viruses or malware;
- Engage in or facilitate illegal activity;
- Violate these Terms or applicable law.
6.3 Enforcement
6.3.1 KnowledgeScout reserves the right to refuse service, suspend, terminate your account, or remove content if we reasonably believe you have violated these Terms or applicable law. We will, where practicable, provide notice and opportunity to remedy before acting.
7. Client Content and Intellectual Property
7.1 Ownership of Client Content
7.1.1 You retain all ownership rights to Client Content. KnowledgeScout does not claim ownership or assume responsibility for Client Content's accuracy, completeness, or legality.
7.2 Licence to KnowledgeScout
7.2.1 By uploading Client Content, you grant KnowledgeScout a limited, non-exclusive, royalty-free, worldwide licence to store, process, index, and display it for providing the Service. This licence expires when your account terminates.
7.2.2 You authorise KnowledgeScout to:
- Perform indexing, full-text search, and analytics;
- Generate aggregated and anonymised analytics;
- Transmit relevant content to AI providers when you enable AI Features;
- Display publicly-marked content in public embeddable components.
7.2.3 Subject to these Terms and payment of applicable fees, KnowledgeScout grants the Client a limited, non-exclusive, non-transferable, non-sublicensable right during the Subscription Period to access and use the Service for its internal business purposes and any permitted use of embeddable components under the applicable subscription plan.
7.3 KnowledgeScout Intellectual Property
7.3.1 All KnowledgeScout materials, code, designs, and documentation are KnowledgeScout's exclusive property, protected by copyright and other laws. Your use of the Service does not grant you any ownership or licence to KnowledgeScout's intellectual property beyond the limited right to use the Service in accordance with these Terms.
7.3.2 Except as expressly permitted under these Terms, the Client must not, and must not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works from the Service; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or trade secrets from the Service; (c) sell, resell, license, sublicense, distribute, or commercially exploit the Service; (d) use the Service to build, train, or improve a competing product or service; (e) remove or obscure any proprietary notices; or (f) access or use the Service other than in accordance with these Terms.
7.3.3 All rights not expressly granted to the Client are reserved by KnowledgeScout and its licensors.
7.4 Aggregated and Anonymised Data
7.4.1 KnowledgeScout may collect, generate, and use aggregated, anonymised, and de-identified data derived from your use of the Service (including usage patterns, analytics, performance metrics, operational telemetry, and AI interaction metadata) for service administration, security, abuse prevention, research, benchmarking, product development, and service improvement, provided that such data does not identify the Client, any Authorised User, End User, or Client Content.
7.4.2 If the Client or its Authorised Users provide feedback, suggestions, enhancement requests, or other input relating to the Service, KnowledgeScout may use and exploit that feedback without restriction or obligation, provided it does not identify the Client as the source without consent.
8. AI Features
8.1 Description
8.1.1 AI Features are optional and include conversational assistance, writing tools, content generation, and similar capabilities. AI Features are available on all plans and can be disabled via System Settings.
8.2 AI Data Handling
8.2.1 KnowledgeScout may use one or more third-party AI providers ("AI Providers") to deliver AI Features. KnowledgeScout may change AI Providers, model configurations, processing arrangements, and related service architecture from time to time. Some AI Features may also be made available on a Bring Your Own API Key (BYOK) basis.
8.2.2 When you use AI Features, only data necessary to generate a response is transmitted to AI Providers, including your query and relevant content excerpts. Raw conversation logs and metadata beyond current query context are not sent.
8.2.3 Conversation logging: AI chatbot conversations can be logged server-side in your Data Region. Retention is configured by your Account Admin, separately for internal and public-facing AI interactions, with a range of 0 days (logging disabled) through to 2555 days (approximately 7 years). The default retention is 30 days for each. You can change or disable logging at any time.
8.2.4 Usage tracking: For the default Anthropic provider, KnowledgeScout logs per-call token counts and monthly usage for billing. This data is stored per Tenant and not shared with other Clients.
8.2.5 BYOK: When you use BYOK with any AI provider, you have a direct relationship with that provider. KnowledgeScout acts on your instruction only. You are responsible for the provider's data handling and must comply with their terms.
8.2.6 Nothing in these Terms permits KnowledgeScout to use personal information or Client Content except as permitted by these Terms, the Privacy Policy, and, where applicable, the Data Processing Agreement.
8.3 AI Limitations
8.3.1 AI Features are provided on an "as is" and "as available" basis. AI-generated outputs may be inaccurate, incomplete, out of date, biased, or inappropriate, including where generated using Client Content or other context. The Client must independently review and verify all AI-generated outputs before publication, communication, decision-making, or reliance, and KnowledgeScout accepts no responsibility for reliance on AI-generated outputs.
8.3.2 KnowledgeScout does not warrant that AI-generated outputs will be unique, non-infringing, legally compliant, or fit for any particular purpose.
8.3.3 AI Features depend on third-party AI Provider availability. KnowledgeScout is not responsible for outages, delays, or errors caused by AI Providers.
8.3.4 You must ensure AI Feature use complies with all applicable laws and regulations.
8.3.5 KnowledgeScout may modify or discontinue AI Features or change providers with 30 days' notice. If material, you may terminate within 30 days. Termination takes effect at the end of your Subscription Period.
9. Data Protection and Privacy
9.1 Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms. If, and to the extent, KnowledgeScout processes personal data on the Client's behalf as a processor or service provider, the parties' data processing arrangements will be governed by the Data Processing Agreement, which applies only to that processing relationship.
9.2 KnowledgeScout will maintain reasonable administrative, technical, and organisational safeguards designed to protect Client Content and personal data, as further described in the Privacy Policy and, where applicable, the Data Processing Agreement. No system is completely secure, and KnowledgeScout does not guarantee absolute security.
9.3 In the event of a data breach or security incident affecting personal data, KnowledgeScout will provide notifications and cooperation in accordance with applicable law, the Privacy Policy, and, where applicable, the Data Processing Agreement.
9.4 KnowledgeScout personnel may access Client Content on a strictly limited basis for: (a) providing technical support at your request; (b) platform maintenance, upgrades, or operations; (c) investigating security incidents; or (d) complying with legal obligations. Such access is logged, subject to least-privilege controls, and bound by confidentiality. KnowledgeScout will not access Client Content for commercial or product development purposes.
10. Warranties and Disclaimers
10.1 KnowledgeScout Warranties
10.1.1 KnowledgeScout warrants that:
- KnowledgeScout will provide the Service with reasonable care and skill, and the Service will perform substantially in accordance with its then-current documentation and service description, subject to planned updates, maintenance, and changes permitted under these Terms;
- KnowledgeScout has the right to provide the Service;
- KnowledgeScout will use reasonable measures designed to protect and maintain the security and confidentiality of Client Content in accordance with these Terms, the Privacy Policy, and, where applicable, the Data Processing Agreement.
10.2 Client Warranties
10.2.1 You warrant that:
- You have the authority to enter into this Agreement;
- All Client Content is accurate and does not infringe third-party rights;
- Your use complies with applicable law and these Terms.
10.3 Disclaimers
10.3.1 EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND KNOWLEDGESCOUT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.3.2 KnowledgeScout does not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.
10.3.3 Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy which cannot lawfully be excluded, restricted, or modified under applicable law, including the Australian Consumer Law. To the extent any such non-excludable right applies, KnowledgeScout's liability is limited to the maximum extent permitted by law.
11. Limitation of Liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOWLEDGESCOUT IS NOT LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, or business opportunity;
- Cost of substitute goods or services;
- Even if advised of the possibility of such damages.
11.2 To the maximum extent permitted by law, and except for liability that cannot lawfully be limited or excluded, KnowledgeScout's aggregate liability arising out of or in connection with these Terms or the Service will not exceed the total fees paid or payable by you to KnowledgeScout under these Terms in the 12 months preceding the event giving rise to the claim.
11.3 Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, restricted, or modified.
11.4 Nothing in these Terms limits your obligation to pay fees properly due and payable under these Terms.
12. Term, Termination, and Suspension
12.1 Term and Renewal
12.1.1 These Terms commence on first access and continue month-to-month. Each Subscription Period automatically renews unless either party provides notice of termination.
12.2 Termination by Client
12.2.1 You may terminate at any time through your account settings. Termination takes effect at the end of the current Subscription Period. You remain liable for payment until the end of the billing cycle.
12.3 Termination by KnowledgeScout
12.3.1 KnowledgeScout may terminate immediately without notice if:
- You breach these Terms and fail to cure within 30 days of written notice;
- You violate the Acceptable Use Policy;
- Payment fails and cannot be recovered after 30 days;
- Your use poses a security or legal risk.
12.3.2 KnowledgeScout may terminate these Terms on 30 days' written notice for convenience.
12.4 Suspension
12.4.1 KnowledgeScout may immediately suspend your access (without terminating these Terms) if:
- You breach these Terms (with opportunity to remedy);
- Payment fails and the grace period expires;
- Your account poses a security or legal risk.
12.5 Effect of Termination
12.5.1 Upon termination:
- Your account enters a cancelled state for 30 days, during which you may download Client Content but may not create or edit;
- You remain liable for all accrued fees;
- After 30 days, KnowledgeScout may delete or render inaccessible your Client Content from its production systems. Residual copies may remain in backups for a limited period in accordance with KnowledgeScout's backup retention practices, after which they will be overwritten or deleted in the ordinary course. No data recovery is available after permanent deletion.
- Account and billing information may be retained for up to 7 years after account closure to comply with applicable tax and accounting obligations, as described in our Privacy Policy.
13. Indemnification
13.1 You agree to indemnify, defend, and hold harmless KnowledgeScout from any third-party claims, damages, losses, liabilities, and reasonable expenses (including legal fees) to the extent arising from:
- Your breach of these Terms or use of the Service in breach of applicable laws;
- Your Client Content infringing third-party intellectual property rights;
- Your violation of applicable law;
- Any claim by an Authorised User or End User arising from your acts or omissions, your Client Content, or your implementation or use of the Service;
- Your use of Agent access or Agent-generated content in breach of these Terms or applicable law;
- Your embedding of components, including your privacy disclosures, configurations, and End User interactions relating to those components.
13.2 If you use BYOK with a third-party AI Provider, you are responsible for your relationship with that provider and your compliance with its terms. You indemnify KnowledgeScout against third-party claims arising from your use of BYOK, except to the extent caused by KnowledgeScout's breach of these Terms.
14. Confidentiality
14.1 Each party agrees to keep the other's confidential information (including Client Content, pricing, technical details) confidential and to use it only for performing its obligations under these Terms.
14.2 KnowledgeScout may disclose Client Content if required by law, court order, or government request, provided that KnowledgeScout gives you prompt notice (unless legally prohibited) so you may seek protective measures.
15. Governing Law and Dispute Resolution
15.1 These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. Your use is also governed by applicable Australian consumer protection legislation.
15.2 Each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales and waives any objection to jurisdiction.
15.3 Before commencing court proceedings, a party must first give written notice of the dispute and the parties must attempt in good faith to resolve it by negotiation for at least 14 days. If the dispute is not resolved by negotiation, either party may refer the dispute to mediation administered in Sydney, New South Wales by a mediator agreed between the parties, or failing agreement, appointed by the Resolution Institute. If the dispute is not resolved within 30 days after referral to mediation, either party may commence court proceedings. Nothing in this clause prevents a party from seeking urgent interlocutory or injunctive relief.
16. General Provisions
16.1 Entire Agreement. These Terms, together with the Privacy Policy and, where applicable, the Data Processing Agreement, constitute the entire agreement between the parties in relation to the Service and supersede all prior negotiations and agreements relating to that subject matter.
16.2 Severability. If any provision is found invalid or unenforceable, that provision is severed and the remainder remains in full force.
16.3 Waiver. No waiver is effective unless in writing. A waiver of one breach does not constitute a waiver of any other breach.
16.4 Survival. Clauses which by their nature are intended to survive termination or expiry of these Terms, including clauses relating to fees, intellectual property, confidentiality, indemnities, liability, dispute resolution, and post-termination data handling, survive termination or expiry.
16.5 Notices. Any notice must be in writing and delivered by email to the receiving party's email on file (for Clients: your account email; for KnowledgeScout: hello@knowledgescout.io) or by post to the registered address. Notices are effective upon receipt.
16.6 Assignment. You may not assign these Terms or your rights without KnowledgeScout's prior written consent. KnowledgeScout may assign to any successor or affiliate. Unauthorised assignment is void.
16.7 Publicity. The Client consents to KnowledgeScout using the Client's name and logo in marketing materials. The Client may withdraw consent at any time by sending written notice to hello@knowledgescout.io. KnowledgeScout will remove the name and logo within 30 days.
16.8 Force Majeure. Neither party is liable for delay or failure to perform (except payment obligations) where caused by circumstances beyond reasonable control, including natural disasters, pandemics, government acts, war, terrorism, power or internet outages, or third-party infrastructure failures. The affected party shall notify the other promptly and use commercially reasonable efforts to mitigate. If a force majeure event continues for more than 60 days, either party may terminate upon written notice.
16.9 Export Controls and Sanctions. The Client agrees to comply with all applicable export control laws, trade sanctions, and import regulations. The Client shall not access the Service from any sanctioned country or territory or on behalf of any restricted party.
16.10 No Third-Party Beneficiaries. These Terms are between KnowledgeScout and the Client only. Nothing herein confers any right, benefit, or remedy on any person other than the parties.
17. Modifications to These Terms
17.1 KnowledgeScout may modify these Terms from time to time. Material modifications will take effect 30 days after notice to your account email or through the Service. Continued use after the effective date constitutes acceptance of the modified Terms. If you do not accept a material modification, you must stop using the Service and may terminate your subscription before the modification takes effect.
